Job Title: Assistant Manager/ Manager – Contracts

Education: Graduation

Experience: 5 ~ 10 years

Responsibilities:

  • Develop and establish processes that will facilitate the quality and timely execution of agreements from initiation to renewal.
  • Support drafting of contracts and subcontracts and ensure that relevant (sub) contracts contain appropriate contract terms.
  • Identify contract baseline (including terms and conditions, specifications, drawings, estimate, proposal, schedule and other documents incorporated in the contract) and highlight areas of potential risk.
  • Ensure timely and accurate execution of commercial aspects in portfolio of contracts (payments, claims, variation orders, warranties, provisions, guarantees, etc.)
  • Verify and validate that both parties to the contract have fulfilled their contractual obligations and there are no responsibilities outstanding. Document and communicate to all appropriate parties any deficiencies found as part of the closeout process.
  • Support contract implementation (e.g., training, process, consistency) by ensuring all teams are aware of timelines and responsibilities.
  • Monitor completion of contract close-out, extension or renewal, as appropriate
  • Perform independent interpretation of contractual clauses, and managing contractual disputes.
  • Maintain detailed and organized filing for each contract through compilation of original contract, all correspondence, changes/deviations, amendments, clarifications
  • Support on Secretarial matters of the Company including but not limited to RJSC filings, preparation and finalization of board papers, handling queries from shareholders, etc.
  • Support on day-to-day activities of the Company including but not limited to letters and communications with internal and external stakeholders, drafting and review of engagement letters, drafting and review of purchase orders/ work orders, etc.

  • EXPERIENCE REQUIREMENTS:
    • 5-10 years of related experience in contract management
    • Comprehensive understanding of the contract documents (drawings and specifications), phasing plans, construction sequencing and project schedule
    • Experience as an in-house legal counsel/ commercial manager in power plant would be preferred
    • Knowledge of power plant operation, project financing, EPC would be an added advantage

 

  • MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:
    • Experience in drafting contracts, negotiation of contracts, contract management and vendor agreements including the ability to strategically assess and mitigate risk with vendors and suppliers through well-structured agreements with strong techno-commercial knowledge
    • Good understanding of common legal concepts arising in contracts and experience working with/ as legal counsel on contracts
    • Hands on expertise in version control, redlining/ blacklining, document management and other operational expertise related to contract negotiation and management
    • Proven ability to engage, inspire and drive results through people management and working in teams
    • Ability to resolve issues independently
    • Performs work that is varied and that may be somewhat difficult in character
    • Excellent written and verbal communication skills
    • Meticulous and attentive to details
    • Go-getter attitude
